Position Description:

We have an exciting opportunity within our CGI Federal Corporate Contracts Team to serve as a key member providing support to our federal corporate services and technology practice for strategic partnerships and other professional relationships. In this position, you will be responsible for managing, administering, and maintaining the documented contractual relationship of commercial partners and subcontractors.

As the Sr. Commercial Contracts Administrator, you will be responsible for negotiating various agreements to include, but not limited to, Consultant agreements, Master Staffing Firm agreements, commercial license agreements, and other various partner agreements for the respective business objective while mitigating risk in accordance with company policies.

The successful candidate shall be familiar with standard government, public and private (commercial and non-commercial) contract concepts, practices, and procedures, FAR, DFAR, and other government regulatory requirements as well as have proven written and verbal communication skills and the ability to interact directly and professionally with senior management and all other levels of co-workers, vendors and clients.

Your future duties and responsibilities:

• Prepare and negotiate all indirect labor agreements (e.g staffing agreements, consulting agreements) with contractors and staffing firms.

• Work with project teams to support day to day indirect subcontract administration, including receiving requests from project teams for indirect agreements and purchase orders, reviewing data in the Procurement Requisition System (PRS), creating PO's in Deltek Costpoint and issuing PO's to vendor; maintaining details on all accounts for reporting purposes;

• Proposal support to include assisting in sending out RFP's/RFQ's to subcontractors;

• Prepare routine subcontract documents (e.g., agreements, correspondence, memoranda, etc.) and ensure compliance with terms and conditions

• Request, review and process new vendor setup and updates, maintains accurate contract and subcontract files.

• Correspond with internal and external customers in a timely, professional manner.

• Process requests for background investigations and vendor setups in compliance with CGI processes and procedures.

• Create Purchase Orders and Change Orders in Deltek Costpoint to provide funding, period of performance and statement of work to contractors/consultants and staffing firms.

• Engage with and proactively educates project and management teams on various subcontract and compliance requirements

• Assist with the review, negotiation and management of broad range of indirect commercial contracts and agreements, including NDAs, Partner Program Agreements, Independent Software Vendor Agreements, Master Services and/or Supply Agreements and applicable Statements of Works, Software Reseller Agreements, Commercial Services Agreements, Distributor Agreements, Software Licensing Agreements, Cooperative Development Agreements and other corporate agreements.

• Perform contract management duties for commercial agreements, advise internal teams on compliance obligations in commercial agreements.

• Organize and maintain agreements records (i.e. Contract Management System (CMS)) and files in compliance with CGI's guidelines/procedures (i.e. CPSR).

• Assist supervisor/higher level subcontracts professional with data calls and contracts management system entries.

• Ability to take direction from management and follow directions, as provided.

• Review and resolve issues on assigned task which affect company compliance, in addition to ensuring all legal requirements and company/customer objectives have been satisfied.

• Responsible for on time submission of monthly FFATA required reporting to the government.

• Work collaboratively with Finance, Contracts, Legal Counsel, Subcontracts and Purchasing to ensure adequate internal controls are present to demonstrate compliance.

• Assist with identifying and implementing process improvements for contract and subcontract management in compliance with company policy.

Required qualifications to be successful in this role:

Minimum 5 years general business or Procurement/Subcontracts/Contracts related experience. Strong written and verbal communication skills a must. Bachelors degree or equivalent experience in lieu of education. Deep knowledge of commercial software licensing terms and conditions. Ability to read and understand complex contractual principles. Ability to effectively evaluate and analyze contract language and draft revisions. Ability to work well in a collaborative business environment with peers within the subcontracts and contracts group as well as Sr. management, business developers and project teams. Critical thinking, detail oriented and sensitivity in meeting short deadlines. Experience with Deltek Costpoint and advanced knowledge of the subcontracts and/or procurement responsibilities preferred. Bachelor’s degree or equivalent required.


Ability to work independently and take the initiative to handle contractual challenges, multiple project oversight, and develop quick turn-around strategies. Teamwork is critical. Must maintain a positive and professional demeanor at all times Experience with Deltek Costpoint Purchase Order module and MS Office preferred.
