Position Description:

The CGI Federal Contracts Team seeks a dedicated resource to support the Defense BU's Commercial Information Technology Outsourcing (ITO) initiative, including its current contract with Aerojet Rocketdyne (AR). This position will be responsible for negotiation and risk identification for the AR contract and other Commercial ITO agreements. The successful candidate will have strong interpersonal, analytical, and problem solving skills and be responsible for building strong working relationships with internal and external clients and enterprise partners.

Your future duties and responsibilities:

A successful candidate for this high level individual contributor position will:

• Review, negotiate, and execute a broad range of commercial contracts and agreements, including ITO agreements (and applicable Statements of Work) and associated agreements such as, NDAs, Partner Program Agreements, Independent Software Vendor Agreements, Software Reseller Agreements, Commercial Services Agreements, Distributor Agreements, Consultant Agreements, and Software Licensing Agreements;

• Analyze and identify significant, and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and procedures;

• Responsible for all facets of contract negotiation, management, and administration of contracts, subcontracts, and agreements, including maintaining detailed and organized files;

• Responsible for internal business unit collaboration agreements, Memorandums of Understanding and Agreements and support creation and negotiation of license and maintenance agreements to include third party sublicensing arrangements;

• Develop negotiation strategy with business team and lead negotiations on complex contractual issues, promptly address related contract issues and problems, and ensure timely resolution and effective corrective actions implementation;

• Participate in the development and implementation of processes and procedures for contract management and administration in compliance with company policy;

• Work collaboratively with Finance, Contracts, Legal Counsel, Subcontracts and Purchasing to ensure adequate internal controls are present to ensure compliance;

• Respond and comply with audit requirements, reviews, and support company and customer data call requests on an as needed basis; and

• Participate in special projects, as required.

Required qualifications to be successful in this role:

• Bachelors degree plus 12 years of contracts negotiation experience with a pragmatic, flexible negotiation style based on sound business acumen; at least 7 years in the IT industry;

• Significant experience and expertise in commercial contracting and federal contracting (state and local experience is a plus);

• Solid understanding of contractual/legal concepts (e.g., liability, indemnification, acceptance, warranties, software licensing, intellectual property rights, termination liability, bid assistance, service level agreements benchmarking, export controls and security regulations, etc.);

• Collaborative team player, with strong interpersonal, organizational, analytical, and communication (oral and written) skills and ability to work through business issues that impact legal terms in a dynamic, entrepreneurial environment;

• Ability to effectively work with and communicate at all levels of the organization;

• Ability to take work independently on multiple concurrent tasks under minimal guidance and meet deadlines that require quick turnaround; and

• Ability to adapt to constantly changing priorities and managing a wide variety of projects.

Extensive travel (25-50%) and potentially extended stays at customer's sites will be required.

DESIRED

• Requires strong familiarity with commercial terms & conditions and applicable contract compliance regulations.

• JD, Paralegal or Contract Administrator/Manager certificate/education a plus;

• Experience in software sales and licensing, managed services, and professional services;

• Experience in negotiating Cloud, Cybersecurity, and Digital Services licensing and services;

• Working experience with FedRamp levels and requirements;

• Knowledge of GSA Schedules and IDIQs; and

• Demonstrated proficiency with Microsoft Word, Excel, and Adobe including editing functions and MS SharePoint.
