Position Description:

CGI is seeking an experienced IT contracts management professional to manage all aspects of contract management and negotiation of state and local and commercial contracts within one or more of CGI’s US business units.

As a contracts manager on CGI’s US team, you will have a high degree of autonomy within assigned areas and will report to the Director of Contracts.

Your day to day responsibilities will require that you apply a strong understanding of legal concepts to a full range of high-end IT service engagements including agile and other software development projects, hosting/cloud service offerings, reseller agreements and software license/maintenance arrangements. Key to your success will be the ability to shift support between various clients and contracts as the need arises to accommodate dynamic priorities. Strategic and tactical proposal support is also a significant part of this role.

This role can be located at any CGI office in the U.S.

Your future duties and responsibilities:

This role will require that you collaborate with business pursuit teams to review requests for proposals (RFPs) and provide contract risk assessments, strategic advice and agreement exceptions / redlines as part of the proposal process. You will also be regularly requested to provide careful and logical review of all forms of contractual agreements, including master services agreements, license agreements, SaaS agreements, teaming and subcontractor agreements, etc. Draft necessary contract changes to align with CGI’s contracting frameworks and best practices will be a key responsibility in this role. In addition, you will assist internal clients in developing negotiation and risk mitigation strategies as part of proposal development, during contract execution and throughout the contract lifecycle. You must be able to independently lead contract negotiations and provide value added support to legal counsel as needed for certain large or complex transactions. You will also collaborate and communicate regularly with applicable members of the business unit leadership team, sales and delivery managers, internal legal counsel as well as other internal core services groups necessary to achieve comprehensive contract review and risk assessment (security, privacy, tax, insurance, etc.)

Required qualifications to be successful in this role:

• 10+ years of commercial contract management experience;

• Solid working knowledge of IT contracting with a focus on legal terms and conditions (e.g., indemnification, intellectual property rights, software licensing terms, etc.);

• Ability to work through legal and business issues in a dynamic, entrepreneurial environment with a proactive focus on risk mitigation;

• Negotiation experience with a pragmatic, flexible negotiation style;

• Must be detail-oriented and organized with excellent analytic and problem-solving abilities;

• Must display excellent verbal and written communication and strong interpersonal skills;

• Knowledge of Microsoft applications to include Excel, Word, and PowerPoint;

Minimum Education Required: Bachelors Degree

Est. Salary Range (Colorado Only): $120,000-$150,000*
